Agreement between User/Customer and ARC Routers, LLC

The arcrouters.com website (the “Site”) is comprised of various webpages operated by ARC Routers, LLC (“ARC Routers”). http(s)://www.arcrouters.com is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the “Terms”). http(s)://www.arcrouters.com is an E-Commerce Site. 

The website is built for the purposes of allowing E-Commerce buying, selling, and trading of technological products and accessories. These products include but are not limited to wireless, cellular routers and corresponding accessories, such as antennas, power adapters, and related accessories and services pertaining to the products and use of the products.

Visiting or interacting with https://www.arcrouters.com or http://www.arcrouters.com, or sending email communication or chats to ARC Routers constitutes electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures and other communications that we provide to you electronically, via email and/or on the site, satisfy any legal requirement that such communications be in writing. 

Children Under Thirteen

ARC Routers recommends our site be used by businesses or adults over the age of 18 only. Persons under the age of 18 may only use the site under supervision and with permission of an adult parent or guardian. ARC Routers does not knowingly collect, either online or otherwise, personal information from persons under the age of thirteen.

You many not obtain or attempt to obtain any information or materials through any means not intentionally provided or made available through the Site. 

All content on the Site, which may be included as part of the Service, such as graphics, images, logos, text, as well as any compilation therof, and any software used on the Site, is the sole property of ARC Routers and/or its suppliers and protected by copyright as well as other laws that protect intellectual property and proprietary rights. You hereby agree that you do not own or acquire any ownership rights of any protected content. We hereby state that we do not grant you any licenses, expressed or implied, of any intellectual property of ARC Routers, its partners, or our licensors except as expressly authorized by the terms set forth herein. 

International Users

The Site and Service are controlled, administered, and operated by ARC Routers from our offices within the USA. If you access the Site or Service from a location outside of the USA, you are responsible for any and all compliance of any and all local laws. You hereby agree that you will not use the ARC Routers content accessed through the Site in any country, territory, or in any manner prohibited by any applicable restrictions, laws, or regulations.

Indemnification

You agree to indemnify, defend, and hold harmless ARC Routers, its directors, officers, agents, employees, and third parties, for any losses, costs, liabilities, and expenses (including reasonable legal fees) relating to or arising out of your use or inability to properly use the Products, Service, or Site made available to you at http://www.arcrouters.comor https://www.arcrouters.com, any user postings or interactions made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable rules, laws, or regulations. ARC Routers reserves the right, at its own cost to assume the exclusive control and defense of any matter otherwise subject to indemnification by you, in which event you will cully and completely cooperate with ARC Routers in asserting any available defenses. 

Arbitration

In the event the parties are not able to resolve any dispute between them concerning or arising out of these Terms and Conditions, or any provisions hereof, whether in contract, tort, or otherwise at law on in equity for damages or any other relief, then such dispute shall be resolved only by binding and final arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by the American Arbitration Association, or a similar, agreed upon arbitration service selected by the parties, in a location mutually agreed upon by the parties. The arbitrator’s decision and/or award shall be final, and judgement may be entered upon it in any applicable court within or having jurisdiction. In the event that any equitable or legal action, arbitration, or proceeding arises out of or concerning these Terms and Conditions, the prevailing party shall be entitled to recover its reasonable costs and reasonable legal fees. The parties agree to arbitrate all disputes and claims in regards to theses Terms and Conditions or any disputes concerning or arising out of these Terms and Conditions, whether indirectly or directly, including Tort claims that are a result of these Terms and Conditions. The parties hereby agree that the Federal Arbitration Act governs the enforcement and interpretation of this provision. The entire dispute, including the enforceability and scope of this arbitration provision shall be determined by the Arbitrator. This Arbitration provision shall survive any termination of these Terms and Conditions. 

Liability Disclaimer

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES AVAILABLE THROUGH OR INCLUDED IN THE SITE MAY INCLUDE TYPOGRAPHICAL ERRORS OR OTHER INACCURACIES. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HERIN. ARC ROUTERS, LLC AND/OR ITS PARTNERS AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES TO THE SITE AT ANY TIME. 

ARC ROUTERS, LLC, ITS PARTNERS, AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE RELIABILITY, SUITABILITY, AVAILABILITY, ACCURACY, AND/OR TIMELINESS OF THE INFORMATION, PRODUCTS, SOFTWARE, AND/OR SERVICES AND RELATED GRAPHICS CONTAINED ON THE SITE FOR ANY PURPOSE. TO THE MAMIMUM EXTENT PERMITTED BY ALL APPLICABLE LAWS, ALL SUCH INFORMATION, PRODUCTS, SOFTWARE, AND/OR SERVICES AND RELATED GRAPHICS ARE PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND WHATSOEVER. ARC ROUTERS AND/OR ITS SUPPLIERS HERBY DISCLAIM ALL  WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, PRODUCTS, SOFTWARE, AND/OR SERVICES AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTCULAR PURPOSE, TITLE AND NON-INFRINGEMENT. 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WHATSOEVER SHALL ARC ROUTERS, LLC AND/OR ITS PARTNERS AND/OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, DIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES DUE TO TECHNOLOGICAL IMPACT, LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE PERFORMANCE, USE, INABILITY TO PROPERLY USE, DELAY, OR MISUSE OF THE PRODUCTS, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES,  FROM THE SITE OR RELATED SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE SITE OR OTHERWISE ARISING OUT OF THE USE OF THE SITE, PRODUCTS, AND/OR SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF ARC ROUTERS, LLC OR ANY OF ITS PARTNERS AND/OR SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE LIMITATION ABOVE MAY NOT APPLY TO YOU COMPLETELY. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE PRODUCTS, SITE, AND/OR SERVICES, OR WITH ANY OF THE TERMS OF USE HEREIN, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE PRODUCTS, SITE, AND/OR SERVICES.

Termination/Access Restriction

ARC Routers reserves the right, in its sole discretion, to terminate your access to the Site, products, and/or related services or any portion thereof at any time, without notice. To the maximum extent permitted by law, this agreement is governed by the laws of the State of Georgia and you do hereby consent to the exclusive jurisdiction and venue of courts in Georgia in all disputes relating to or arising out of the use of the Site, products, and/or related services. Use of the Site, products, and/or related services is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including without limitation, this section.

You hereby agree that no partnership, joint venture, agency, or employment relationship exists between you and ARC Routers as a result of this agreement or use of the Site, products, and or related services. ARC Routers’ performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of ARC Routers’ right to comply with court, governmental, and law enforcement requests or requirements relating to your use of the Site, products, related services, or information provided to or gathered by ARC Routers with respect to such use. If any part of this agreement is determined to be unenforceable or invalid pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the unenforceable or invalid provision will be deemed superseded by an enforceable, valid provision that most closely matches the intent of the original provision and the remainder of the agreement/terms shall continue in full effect. 

Unless specified otherwise herein, this agreement constitutes the entire agreement between the user and ARC Routers LLC with respect to the Site, products, and related services, and it supersedes all prior or contemporaneous communications and proposals, whether oral, electronic, or written, between the user and ARC Routers with respect to the Site, products, and related services. A printed or printer-friendly version of this agreement and any notice given in electronic form shall be admissible in administrative or judicial proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as any other business documents and records originally generated and maintained in printed form. It is the expressed wish to the parties that this agreement and all related documentation be written and communicated in the English language, native to the company origin in USA. 

Changes to Terms

ARC Routers reserves the right, in its sole discretion, to change the Terms under which http(s)://www.arcrouters is offered. The most current version of the Terms will supersede all previous versions. ARC Routers encourages you to please periodically review the Terms and Conditions to stay informed of any updates or changes.
